Terms of Service
These Terms form a binding agreement between you and the operator of sub2tok governing your use of the platform. Please read them in full before you create an account or send your first request, in particular the sections on deposits, subscription sharing, disclaimers and limitation of liability.
Effective 2026-10-22
01Accepting these Terms
sub2tok (the “Service”) is provided by its operator, an entity registered in the Republic of Singapore (“we” or “us”). By registering an account, creating an API token or calling the Service's endpoints in any way, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy.
If you do not agree with any part of these Terms, you must stop using the Service immediately. If you use the Service on behalf of a company or other organization, you represent and warrant that you are duly authorized to accept these Terms on its behalf.
If the Chinese and English versions of these Terms differ, the Chinese version prevails.
02The service
sub2tok is a model API gateway that meters usage in tokens. We receive the requests you send through compatible model APIs, forward each one to an upstream model provider for the model you chose, convert between compatible formats where needed, and stream the response back. We do not train or fine-tune models, and we do not provide models of our own.
Upstream supply comes from two sources: our own supply (channels that connect directly with official or third-party API keys, plus subscriptions we hold) and shared supply (idle subscriptions shared by other users). For each call, the gateway picks the source based on the model you chose and the channels available at that moment. You do not need to, and cannot, choose it yourself. A subscription you share yourself serves your own requests first. Availability and failover differ from one source to another.
The Service is still under active development. Features marked “not yet available” on the site are not a commitment to deliver them.
We may add, change, suspend or discontinue any feature, model, supply source or price at any time. We will give advance notice of material changes on the site or by email.
03Your account and security
You must provide true, accurate and complete registration details and keep them up to date. You must be at least 18 years old, or of legal age to enter into a binding contract in your jurisdiction.
As a rule, each individual or organization should hold only one account. We may merge or close linked accounts that appear to be bulk-registered or created to collect the signup bonus.
An API token is your account's credential for making calls. The plaintext token is shown only once, when you create it. Keep it safe: never commit it to a public repository, ship it in front-end code or give it to a third-party service. Every call made with your token is treated as made by you, and you are liable for the resulting charges.
If a token leaks or your account is compromised, disable the affected tokens in the console immediately and contact us. Charges incurred before we receive a valid notice are non-refundable.
04Acceptable use
You agree not to use the Service for any of the following. If we find that you do, we may restrict your calls, disable your tokens, ban your account or terminate the Service without prior notice:
- generating or distributing content that violates applicable law, including content that infringes others' intellectual property, personality or privacy rights;
- generating child sexual exploitation material, terrorist content, or hateful or harassing content targeting a particular group;
- carrying out or assisting with cyber attacks, fraud, phishing, money laundering, extortion or other criminal activity;
- collecting, inferring or reconstructing other people's personal information or real identities without authorization;
- circumventing, tampering with or interfering with our metering, billing, rate-limiting and concurrency controls, including forging request identifiers or exploiting defects to obtain balance or usage you are not entitled to;
- putting load on the Service or upstream providers at a frequency or concurrency beyond normal use, degrading service for other users;
- reselling or sub-distributing the Service as a whole, or repackaging it as a competing relay service, without our written permission;
- using output from the Service to distill, replicate or train models that compete with the upstream providers.
We do not proactively review the content of your requests or responses. However, if we receive a notice from a rights holder or a lawful request from a judicial or administrative authority, or have reasonable grounds to suspect any of the conduct above, we may take the necessary measures and preserve relevant evidence.
05Upstream provider terms
Your requests are ultimately processed by upstream model providers. In addition to these Terms, you must comply with the usage policies and limits of the relevant upstream provider. If an upstream provider restricts an account or traffic because of your conduct, you bear the consequences.
Upstream providers set their own availability, model versions, rate limits and pricing. These are outside our control, and we are not liable for changes to them. If an upstream provider discontinues its service or changes its prices substantially, we may adjust or disable the corresponding supply sources and models.
If upstream providers refuse many of your requests under their usage policies, we serve your requests only from our own supply and subscriptions you share yourself, and not from subscriptions shared by other users, so that sharers are not put at risk.
06Metering, billing and the ledger
We meter input tokens, output tokens, cache writes and cache reads separately, and on some channels charge for web searches per use. Unit prices are those in the price list on the site. Requests for models not in the price list are refused outright, never billed at a fallback price. Every call produces an immutable usage record. A charged call also produces a ledger entry, committed in the same database transaction as the balance deduction, so you can check every call in the console at any time. Calls served by a subscription you share yourself are not charged; only their usage is recorded.
Metering is based on the usage data in the upstream response. Where the upstream returns none, we estimate input from the request body and output from what has already been sent to you. Streaming responses are settled when the stream ends; if you disconnect midway, upstream usage already incurred is still billed. Before forwarding a request we place a reservation for its cost, and a request your balance cannot cover is refused before it reaches the upstream.
Balances are kept in nano-USD (one billionth of a US dollar) and earn no interest. Settlement or a reversal can take a balance below zero; you then cannot start new calls until a deposit brings it back up. The signup bonus for new users is a unilateral gift from us. It cannot be withdrawn or transferred, and we may change or cancel the signup bonus rules at any time.
A user who signs up through an invite link, and the person who invited them, may earn referral bonuses from money the invitee deposits (signup bonuses, referral bonuses, revenue share and other gifted balances do not count), at the percentages, thresholds, caps and validity period shown on the Invite friends page in the console. Referral bonuses are also a unilateral gift from us: once credited to your balance, they can only be used to pay for the Service and cannot be withdrawn or transferred. If a deposit that earned a bonus is reversed, the bonus is reversed in the same proportion, which may take a balance below zero. We may reverse bonuses we determine were obtained through fake accounts, self-referral or similar means. We may change or pause the referral rules; bonuses paid before a change are not affected.
If a defect, a duplicate settlement or incorrect upstream data results in a wrong charge, you must raise it within 30 days of discovering it. Once we have verified it, we correct it with a reversal or an admin credit, and the original entry stays on record as it was. If you do not raise a dispute within that period, you are treated as having accepted those charges.
07Deposits
You can deposit in two ways: with stablecoins (USDT and USDC) or with Alipay. The available coins and networks, the amount range per order, daily order limits and the yuan price for Alipay deposits are those shown on the Balance page in the console. We do not offer invoicing or bank refunds. Once a stablecoin deposit arrives, it is credited to your balance at 1 USDT or 1 USDC to 1 US dollar, including the decimal tail of the order amount.
An Alipay deposit is ordered in whole US dollars and paid in yuan with Alipay, at the yuan price shown on the page when you place the order. Alipay processes the payment, and our payment service provider ZPay tells us about it; once we confirm it has arrived, we credit the order's dollar amount to your balance. If a payment does not show up for a long time, contact us and we will look into it. If you complain to Alipay about, or ask it to refund, a payment we have already credited, or Alipay reverses the payment, we may reverse the matching balance.
On-chain transfers cannot be reversed. You are responsible for checking the receiving address, the network and the amount. We cannot recover funds sent to the wrong address, over the wrong network or in a coin we do not accept, and we are not liable for such losses. The amount that arrives must exactly match the amount on the deposit order, decimal tail included, so you must cover any fee your exchange deducts, and the transfer should arrive before the order expires. A transfer we cannot match to an order automatically is credited only after we manually verify that it is yours, which may take longer.
Your balance can only be used to pay for the Service. Except where the law requires otherwise, deposited balances are, as a rule, non-refundable. If we discontinue the Service unilaterally, we will agree with you on how to return any remaining balance.
You confirm that the funds you deposit, including any digital assets, come from lawful sources. Where anti-money-laundering or sanctions compliance requires it, we may suspend crediting a suspicious transfer or payment, ask you for further explanation or decline to provide the Service.
09Availability
The Service is provided “as is” and “as available”. At this stage we offer no service level agreement (SLA).
Scheduled maintenance, upstream outages, network faults and force majeure may interrupt or degrade the Service. We will make reasonable efforts to keep interruptions short, but we are not liable for any losses they cause.
10Intellectual property and model output
The site, code, interface design, documentation, trademarks and similar materials belong to us or to their respective owners. You may not copy, reverse engineer, sublicense or commercially distribute them without our written permission.
You keep whatever rights you already hold in the content you submit. Ownership and permitted use of model output are governed by the upstream provider's terms; we claim no rights in the output.
Model output may be wrong, outdated or misleading. Before using it in high-stakes areas such as medicine, law or finance, verify it yourself; you bear the consequences of relying on it.
11Bans and termination
You may ask us to close your account at any time, using the contact details at the end of these Terms. After closure, we handle your data for the periods set out in the Privacy Policy. Closing your account does not release you from charges or liabilities already incurred.
We may ban or terminate your account if you breach these Terms, if fraud or illegal activity is suspected, or if a judicial or administrative authority lawfully requires it. Once an account is banned, its tokens stop working immediately, and we may reverse any signup bonus, referral bonuses and revenue share obtained improperly.
Provisions that by their nature should survive termination, including those on billing disputes, disclaimers, limitation of liability, indemnity and dispute resolution, remain in force after the Service ends.
12Disclaimers
To the maximum extent permitted by law, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, or that the Service will be uninterrupted or error-free.
We are not responsible for the conduct, content or availability of upstream providers, or for decisions you make in reliance on model output.
13Limitation of liability
To the maximum extent permitted by law, our total liability under these Terms will not exceed the total fees you actually paid us in the three months before the event giving rise to the claim.
In no event are we liable for indirect, incidental, special or punitive damages, or for loss of profits, data or goodwill, even if we were aware that such loss was possible.
Some jurisdictions do not allow certain warranties to be excluded or liability to be limited. In those jurisdictions, the limits above apply to the fullest extent the law allows.
14Indemnity
You will indemnify us and hold us harmless against any claims, proceedings, fines and reasonable legal fees arising from your breach of these Terms, your unlawful use of the Service or your infringement of a third party's rights.
15Changes to these Terms
We may revise these Terms from time to time. A revision takes effect when it is published on this page, and we update the effective date at the top at the same time. We will announce material changes on the site or by email at least 7 days in advance.
If you keep using the Service after a revision takes effect, you accept the revised Terms. If you do not accept them, stop using the Service; you may also ask us to close your account.
16Governing law and disputes
These Terms, including their formation, validity, interpretation and any dispute under them, are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws rules.
The parties will first try to resolve any dispute arising from these Terms amicably. If that fails, either party may bring the dispute before a court of competent jurisdiction in the Republic of Singapore.
To the extent permitted by law, you agree to bring disputes in your individual capacity and not to take part in any class action or class arbitration.
17General
These Terms, together with the Privacy Policy and the price list and feature descriptions published on the site, form the entire agreement between us and replace any earlier oral or written understanding on the same subject.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions stay in force. Our failure or delay in exercising a right does not waive it.
You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms to a successor in a reorganization, merger or transfer of assets.
